Contest Period: Entry opens on September 1 2018 at 12:00:01 am Pacific Time (“PT”), and closes at 11:59:59 pm PT on February 28 2019 (“Entry Period”).
Eligibility: The ZP Challenge (the “Contest”) is open to legal residents of the 50 United States, plus the District of Columbia & Puerto Rico who are at least 16 years of age except employees of ZP Group, Inc. (“ZP”) and their immediate families or household members. The Contest is subject to all applicable federal, state and local laws and regulations.

Entry requirements: Entries that are incomplete, that do not comply with these official rules, or that otherwise contain prohibited or inappropriate content as determined by ZP, in its sole discretion, will be disqualified and will not be considered for prizes. ZP makes the final determination as to which entries are eligible to take part in this Contest and ZP’s decisions shall be binding.
In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the authorized account holder of the phone number or email address submitted at time of entry. “Authorized account holder” is defined as the natural person who is assigned to a telephone number or email address by an telephone company, wireless company, internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning the telephone number submitted in the entry or the email addresses for the domain associated with the email address submitted in the entry.
Entry limits: There is no maximum number of entries per person, but the judging criteria (see below) may take into consideration whether the entrant appears to have made better choices in a particular challenge area (ZP Food, ZP Fit, ZP Family, ZP Money) over four weeks for that particular entry. Therefore multiple entries by the same person in a short period of time are unlikely to improve odds of winning.
Selection of Prize Winners: Contest Entries will be reviewed by a judging panel determined by ZP in its sole discretion. The judging panel will review all contest submissions based on the following three criteria: creativity (30%); inspirational value (30%); and representation of the ZP Challenge brand (40%). The best one (1) submission as determined by the judges will be declared the Grand Prize Winner. Potential prize winners may be interviewed by ZP Group, Inc. as part of the judging process.
Potential winners will be notified by mail, phone, or email on or about March 14 2019 and will be required to sign and return to ZP an affidavit of eligibility and liability/publicity release within fourteen (14) days of the date of potential winning notification (to the extent allowed by law). Failure to sign affidavit, liability/publicity and travel release during this timeframe will result in disqualification and selection of alternate winner.
Grand Prize (1 available): $25,000.
Second Prize (1 available): $15,000.
Third Prize (1 available): $10,000.
Fourth Prizes (20 available): $5,000.
Estimated value of all prizes is: $150,000.
The winner will be responsible for all applicable federal, state and local taxes.

Release of Liability: By participating, you release ZP and any company sponsors, and each of their respective subsidiaries, affiliates, partners, employees, directors, and agents, including advertising agencies (“Released Entities”), from any and against any and all injury, loss or damage caused or claimed to be caused by your participation in the Contest and/or the acceptance, awarding, receipt, use and/or misuse of the prize, and you agree that Released Entities are not responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the Contest and/or the awarding of any prize, except as expressly set forth in these official rules. By entering, you further agree that (i) any and all disputes, claims, and causes of action arising out of or in connection with the Contest, or any prizes awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorney’s fees; (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses; and (iv) any dispute will be governed by Washington law without regard to principles of conflicts of laws, will be heard in the state or federal courts located in Washington state, and the entrant hereby consents and waives any objection to the jurisdiction of such courts.
Additional Rules: Entrant represents and warrants that his/her entry: (i) is the original work of the entrant produced for this Contest; (ii) does not infringe any third party’s intellectual property rights; (iii) does not invade privacy or other rights of any person, firm or entity, (iv) and does not in any other way violate applicable laws and regulations.
Entrant hereby agrees to defend, indemnify and hold harmless Released Entities against any and all third-party claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or related to any breach by the entrant of any provision of these official rules, including, without limitation, entrant’s representations and warranties made herein.
Entry materials/data that have been tampered with or altered are void. ZP is not responsible for: (i) lost, late, misdirected, damaged, garbled, or illegible entries; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by ZP on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant’s or any other person’s computer related to or resulting from participating in the Contest. By participating in the Contest, you (i) agree to be bound by these official rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of ZP, which are final and binding in all matters relating to the Contest. Failure to comply with these official rules may result in disqualification from the Contest. ZP reserves the right to: (i) permanently disqualify from any contest it sponsors any person it believes has intentionally violated these official rules; and (ii) suspend, modify or terminate the Contest if ZP believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper conduct of the Contest.

BETTER CHOICE INSTANT WIN SWEEPSTAKES
The Better Choices Instant Win Sweepstakes (“Sweepstakes”) are subject to the terms and conditions of the Contest Rules of The ZP Challenge (the “Contest”). The Contest Rules are available at zpchallenge.com/rules#contest. For the avoidance of any doubt, these Sweepstakes Rules govern only those aspects of the Sweepstakes that are not otherwise covered by, or differ from, the Contest Rules. Without limiting the generality of the Contest Rules, the Sweepstakes is governed by: (i) these Sweepstakes Rules; and (ii) the Contest Rules – including, but not limited to, the specific terms and conditions of the following sections of the Contest Rules: “Eligibility”, “Entry Requirements”, “Release of Liability”, “Additional Rules”, “Data Collection/Privacy”, and “Winners’ Names”.
BETTER CHOICES SWEEPSTAKES PERIOD:
The “Sweepstakes Period” begins on September 22, 2018 at 10 a.m. in the United States time zone setting of the device from which the Sweepstakes Entry (defined below) is made (and in no event earlier than 10 A.M. ET), and closes the same day (September 22, 2018) at 2 p.m. in the United States time zone setting of the device from which the Sweepstakes Entry is made (and in no event any later than 2 p.m Hawaii Standard Time).
BETTER CHOICES SWEEPSTAKES ENTRY:
When you select “Click to Play,” confirm your email address, and select “Play Now” in the ZP Challenge App (the “App”) during the Sweepstakes Period, then you will automatically earn one (1) Sweepstakes Entry (each, a “Sweepstakes Entry”). Other permissible methods of Contest entry under the Contest Rules (by mail or email) are not eligible for entry in the Sweepstakes. There is a limit of one (1) prize per person per day during the Sweepstakes Period. If it is discovered by ZP Group, Inc. (“ZP”) (using any evidence or other information made available to or otherwise discovered by ZP) that any person has attempted to: (i) obtain more than one (1) Sweepstakes prize; and/or (ii) use multiple names, identities, email addresses and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or to disrupt this Sweepstakes; then he/she may be disqualified from the Sweepstakes in the sole and absolute discretion of ZP. The Released Entities (as such term is defined in the Contest Rules) are not responsible for outages or unavailability of the online form, nor late, lost, misdirected, delayed, incomplete or incompatible Sweepstakes Entries (all of which are void).
BETTER CHOICES SWEEPSTAKES PRIZES:
There will multiple Sweepstakes Prizes (each, a “Sweepstakes Prize”) available to be won per Day during the Sweepstakes Period: $100 USD online gift cards, $250 USD online gift cards, and $500 USD online gift cards (each subject to the terms and conditions of the issuer). The total approximate retail prize value (“ARV”) of all Sweepstakes Prizes will not be less than $4950 USD. Winners will be responsible for all applicable federal, state and local taxes. Sweepstakes Prizes are non-transferrable and no substitution by winners is allowed. There is a limit of one (1) Sweepstakes Prize per person.
BETTER CHOICES SWEEPSTAKES PRIZE SELECTION METHOD:
During the Sweepstakes Period, prizes will be awarded randomly by computer. The odds of winning depend on the number of eligible Sweepstakes Entries received during the period and the number of prizes already awarded that day.
