National Challenge

Contest Period: Entry opens on March 1st, 2020 at 12:00:01 am Pacific Time (“PT”), and closes at 11:59:59 pm PT on August 31st, 2020 (“Entry Period”).

Eligibility: The ZP Challenge (the “Contest”) is open to legal residents of the United States, plus the District of Columbia & Puerto Rico who are at least 16 years of age except employees of ZP Group, Inc. (“ZP”) and their immediate families or household members. The Contest is subject to all applicable federal, state and local laws and regulations.

How to enter:
By mail: Mail in a completed Contest booklet or entry form demonstrating 21 days of better choices in the ZP Challenge and an answer to the challenge question to ZP Group, Inc., 601 108th Ave NE, Suite, 1900, Bellevue, WA 98004 postmarked before 11:59:59 pm PT on August 31st, 2020.

Online: Complete an online Contest entry form demonstrating 21 days of better choices in the ZP Challenge and an answer to the challenge question at http://zpchallenge.com/enter-online/ before 11:59:59 pm PT August 31st, 2020. Internet access required; charges from your wireless company or ISP may apply.

ZP Challenge iOS / Android app: Complete 21 days of better choices in the ZP Challenge App (“App”) and an answer to the challenge question before 11:59:59 pm PT on August 31st, 2020. Internet access required; charges from your wireless company or ISP may apply.

Entry requirements: Entries that are incomplete, that do not comply with these official rules, or that otherwise contain prohibited or inappropriate content as determined by ZP, in its sole discretion, will be disqualified and will not be considered for prizes. ZP makes the final determination as to which entries are eligible to take part in this Contest and ZP’s decisions shall be binding.
In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the authorized account holder of the phone number or email address submitted at time of entry. “Authorized account holder” is defined as the natural person who is assigned to a telephone number or email address by a telephone company, wireless company, internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning the telephone number submitted in the entry or the email addresses for the domain associated with the email address submitted in the entry.

Entry limits: There is no maximum number of entries per person, but the judging criteria (see below) may take into consideration whether the entrant appears to have made better choices in a particular challenge area (ZP Food, ZP Fit, ZP Family, ZP Money) over four weeks for that particular entry. Therefore multiple entries by the same person in a short period of time are unlikely to improve odds of winning.

Selection of Prize Winners: Contest Entries will be reviewed by a judging panel determined by ZP in its sole discretion. The judging panel will review all contest submissions based on the following three criteria: creativity (30%); inspirational value (30%); and representation of the ZP Challenge brand (40%). The best one (1) submission as determined by the judges will be declared the Grand Prize Winner. Potential prize winners may be interviewed by ZP Group, Inc. as part of the judging process.

Potential winners will be notified by mail, phone, or email on or about September 15th, 2020 and will be required to sign and return to ZP an affidavit of eligibility and liability/publicity release within fourteen (14) days of the date of potential winning notification (to the extent allowed by law). Failure to sign affidavit, liability/publicity and travel release during this timeframe will result in disqualification and selection of alternate winner.

Prizes:

Grand Prize (1 available): $25,000.

Second Prize (1 available): $15,000.

Third Prize (1 available): $10,000.

Fourth Prizes (20 available): $5,000.

Estimated value of all prizes is: $150,000.

The winner will be responsible for all applicable federal, state and local taxes.
Prizes are non-transferable and no substitution by the winner is allowed.

Release of Liability: By participating, you release ZP and any company sponsors, and each of their respective subsidiaries, affiliates, partners, employees, directors, and agents, including advertising agencies (“Released Entities”), from any and against any and all injury, loss or damage caused or claimed to be caused by your participation in the Contest and/or the acceptance, awarding, receipt, use and/or misuse of the prize, and you agree that Released Entities are not responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the Contest and/or the awarding of any prize, except as expressly set forth in these official rules. By entering, you further agree that (i) any and all disputes, claims, and causes of action arising out of or in connection with the Contest, or any prizes awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorney’s fees; (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses; and (iv) any dispute will be governed by Washington law without regard to principles of conflicts of laws, will be heard in the state or federal courts located in Washington state, and the entrant hereby consents and waives any objection to the jurisdiction of such courts.

Additional Rules: Entrant represents and warrants that his/her entry: (i) is the original work of the entrant produced for this Contest; (ii) does not infringe any third party’s intellectual property rights; (iii) does not invade privacy or other rights of any person, firm or entity, (iv) and does not in any other way violate applicable laws and regulations.

Entrant hereby agrees to defend, indemnify and hold harmless Released Entities against any and all third-party claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or related to any breach by the entrant of any provision of these official rules, including, without limitation, entrant’s representations and warranties made herein.

Entry materials/data that have been tampered with or altered are void. ZP is not responsible for: (i) lost, late, misdirected, damaged, garbled, or illegible entries; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by ZP on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant’s or any other person’s computer related to or resulting from participating in the Contest. By participating in the Contest, you (i) agree to be bound by these official rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of ZP, which are final and binding in all matters relating to the Contest. Failure to comply with these official rules may result in disqualification from the Contest. ZP reserves the right to: (i) permanently disqualify from any contest it sponsors any person it believes has intentionally violated these official rules; and (ii) suspend, modify or terminate the Contest if ZP believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper conduct of the Contest.

Data Collection/Privacy: ZP collects personal information from you when you interact with the mobile app or enter the Contest. Downloading and interacting with the app or entering the Contest constitutes your permission to ZP to collect and maintain the data. The information collected is subject to the ZP’s Privacy Policy at www.zpchallenge.com/privacy.

ZP Florida Challenge

Multiple Contests: The ZP Florida Challenge consists of ten discrete monthly contests during the ten calendar months of March through December 2020. Each monthly contest is “Contest.”

Contest Periods:  Entry for each contest opens on the 1st of the calendar month at 12:00:01 am Pacific Time (“PT”), and closes on the last day of the calendar month at 11:59:59 pm PT (“Entry Period”). For example, the first contest period begins March 1, 2020 at 12:00:01 am Pacific Time and ends March 31, 2020 at 11:59:59 pm PT; the second contest period begins April 1, 2020 at 12:00:01 am Pacific Time and ends April 29, 2020 at 11:59:59 pm PT; etc. through December 31st, 2020.

Eligibility: Each Contest in the ZP Florida Challenge is open to legal residents of the state of Florida who are at least 16 years of age except employees of ZP Group, Inc. (“ZP”) and their immediate families or household members. Each Contest is subject to all applicable federal, state and local laws and regulations. To be eligible, a contestant must be a Florida resident at time of entry and at the conclusion of the particular monthly Contest.

Relationship to Global Challenge: ZP Group, Inc. may also sponsor a separate, nationwide skills contest with a six-month or other contest period (each, a “Global Challenge”). For example, one Global Challenge began March 1, 2020 and concludes August 31, 2020. Entrants in any Contest will also be automatically entered into the then-current Global Challenge unless otherwise excluded by the then-current Global Challenge rules. Entrants in the Global Challenge who are eligible for the ZP Muskegon Challenge will likewise be automatically entered into the then-current Contest unless otherwise excluded by the then-current Global Challenge rules or these ZP Florida Challenge rules.

ZP Muskegon Challenge

Multiple Contests: The ZP Muskegon Challenge consists of three discrete monthly contests during the three calendar months of March through May 2020. Each monthly contest is “Contest.”

Contest Periods:  Entry for each contest opens on the 1st of the calendar month at 12:00:01 am Pacific Time (“PT”), and closes on the last day of the calendar month at 11:59:59 pm PT (“Entry Period”). For example, the first contest period begins March 1, 2020 at 12:00:01 am Pacific Time and ends March 30, 2020 at 11:59:59 pm PT; the second contest period begins April 1, 2020 at 12:00:01 am Pacific Time and ends April 30, 2020 at 11:59:59 pm PT; etc. through May 31st, 2020.

Eligibility: Each Contest in the ZP Muskegon Challenge is open to legal residents of the county of Muskegon, MI who are at least 16 years of age except employees of ZP Group, Inc. (“ZP”) and their immediate families or household members. Each Contest is subject to all applicable federal, state and local laws and regulations. To be eligible, a contestant must be a Muskegon County resident at time of entry and at the conclusion of the particular monthly Contest.

Relationship to Global Challenge: ZP Group, Inc. may also sponsor a separate, nationwide skills contest with a six-month or other contest period (each, a “Global Challenge”). For example, one Global Challenge began March 1, 2020 and concludes August 31, 2020. Entrants in any Contest will also be automatically entered into the then-current Global Challenge unless otherwise excluded by the then-current Global Challenge rules. Entrants in the Global Challenge who are eligible for the ZP Muskegon Challenge will likewise be automatically entered into the then-current Contest unless otherwise excluded by the then-current Global Challenge rules or these ZP Muskegon Challenge rules.

ZP Challenge iOS / Android app: Complete 21 days of better choices in the ZP Challenge App (“App”) and an answer to the challenge question no earlier than 12:00:01 am PT on 1st day of the applicable calendar month and no later than 11:59:59 pm PT on the last day of the applicable calendar month, for any of the months of March through May 2020. Internet access required; charges from your wireless company or ISP may apply.

Entry requirements: Entries that are incomplete, that do not comply with these official rules, or that otherwise contain prohibited or inappropriate content as determined by ZP, in its sole discretion, will be disqualified and will not be considered for prizes. ZP makes the final determination as to which entries are eligible to take part in this Contest and ZP’s decisions shall be binding.
In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the authorized account holder of the phone number or email address submitted at time of entry. “Authorized account holder” is defined as the natural person who is assigned to a telephone number or email address by a telephone company, wireless company, internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning the telephone number submitted in the entry or the email addresses for the domain associated with the email address submitted in the entry.

Entry limits: There is no maximum number of entries per person, but the judging criteria (see below) may take into consideration whether the entrant appears to have made better choices in a particular challenge area (ZP Food, ZP Fit, ZP Family, ZP Money) over four weeks for that particular entry. Therefore multiple entries by the same person in a short period of time are unlikely to improve odds of winning.

Selection of Prize Winners: Contest entries will be reviewed by a judging panel determined by ZP in its sole discretion. The judging panel will review all contest submissions based on the following three criteria: creativity (30%); inspirational value (30%); and representation of the ZP Challenge brand (40%). Potential prize winners may be interviewed by ZP Group, Inc. as part of the judging process.
Potential winners will be notified by mail, phone, or email on or about the middle of the calendar month following the close of the particular monthly Contest and will be required to sign and return to ZP an affidavit of eligibility and liability/publicity release within fourteen (14) days of the date of potential winning notification (to the extent allowed by law). Failure to sign affidavit, liability/publicity and travel release during this timeframe will result in disqualification and selection of alternate winner.

Prizes:
For each of the three discrete monthly Contests, five prizes of $1,000 each will be awarded.

The prize winners for all three monthly Contests will also be considered for three additional one-time prizes to be awarded at the conclusion of the last monthly contest.  These will be awarded by June 30, 2020.

Grand Prize (1 available): $15,000.

Runner Up (1 available): $10,000

Runner Up (1 available): $5,000

Estimated value of all prizes is: $5,000 for each monthly Contest, and $30,000 for overall prize winners, or a total of $45,000 for the entire period of the ZP Muskegon Challenge.
Each winner will be responsible for all applicable federal, state and local taxes.
Prizes are non-transferable and no substitution by the winner is allowed.

Release of Liability: By participating, you release ZP and any company sponsors, and each of their respective subsidiaries, affiliates, partners, employees, directors, and agents, including advertising agencies (“Released Entities”), from any and against any and all injury, loss or damage caused or claimed to be caused by your participation in a Contest and/or the acceptance, awarding, receipt, use and/or misuse of the prize, and you agree that Released Entities are not responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to a Contest and/or the awarding of any prize, except as expressly set forth in these official rules. By entering, you further agree that (i) any and all disputes, claims, and causes of action arising out of or in connection with a Contest, or any prizes awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering a  Contest, but in no event attorney’s fees; (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses; and (iv) any dispute will be governed by Washington law without regard to principles of conflicts of laws, will be heard in the state or federal courts located in Washington state, and the entrant hereby consents and waives any objection to the jurisdiction of such courts.

Additional Rules: Entrant represents and warrants that his/her entry: (i) is the original work of the entrant produced for a Contest; (ii) does not infringe any third party’s intellectual property rights; (iii) does not invade privacy or other rights of any person, firm or entity, (iv) and does not in any other way violate applicable laws and regulations.

Entrant hereby agrees to defend, indemnify and hold harmless Released Entities against any and all third-party claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or related to any breach by the entrant of any provision of these official rules, including, without limitation, entrant’s representations and warranties made herein.

Entry materials/data that have been tampered with or altered are void. ZP is not responsible for: (i) lost, late, misdirected, damaged, garbled, or illegible entries; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by ZP on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant’s or any other person’s computer related to or resulting from participating in a Contest. By participating in a Contest, you (i) agree to be bound by these official rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of ZP, which are final and binding in all matters relating to a Contest. Failure to comply with these official rules may result in disqualification from all Contests. ZP Texas Challenge
